STANDART BUSINESS CONDITIONS

§1 Order acceptance
All orders shall be accepted and executed exclusively according to the Standard Business Conditions set forth below. The Customer accepts said Conditions upon placing the order. Allingua Service International assumes that the Customer backs up his data records, including after the work has been delivered. Save as otherwise desired, the data received from the Customer are to be held on our data media after the order has been executed. In compliance with OR Art. 962 Section 1, business records and correspondence are to be kept for 10 years.

No liability is accepted for delays or performance defects arising from the incorrect or incomplete transmission of the source text or from misleading or inaccurate formulations in same.

No order is to be executed unless and until a binding written confirmation of a cost estimate is issued.

§2 Copyright
The Customer is responsible for the content of the transmitted data. The Customer is assumed to be the copyright holder of all works transmitted to us. Consequences arising from any copyright infringement are to be borne exclusively by the Customer.

§3 Responsibility for content
Allingua Service International cannot be held responsible for the content of the translated document. Views, opinions and content lie exclusively within the originator's sphere of responsibility and in no way represent the opinion of Allingua Service International. We reserve the right to refuse to translate documents or content.

§4 Customer's sphere of responsibility
It lies within the Customer's sphere of responsibility to supply documents with a clearly identifiable format and legible content. The Customer is obliged to notify Allingua Service International immediately of any changes during the translation process that could in any form affect the content or format of the end product. Any change can give rise to a price adjustment by mutual agreement.

§5 Liability - compensation claims
Any liability is expressly ruled out in the event of damage to or loss of files on the Customer's or our data media, or on the electronic data transfer routes or networks. Any liability is likewise expressly ruled out in the event of damage to or loss of any materials of any kind placed at our disposal.

If the translation ordered by the Customer does not fulfill its purpose or is considered defective, a complaint must be made and a period of grace for remedying same granted within 10 days of the order being completed. Upon expiry of the forenamed time-limit, the Customer shall accept the end product without reservation. Allingua Service International shall not accept liability for any damage to reputation or other damage arising from the relationship brought about by the order.

§6 Delivery time - late delivery
Allingua Service International shall make every effort to execute all orders within the agreed timeframe. We cannot accept any responsibility, however, for deliveries that are not made timely because of any technical difficulties. If notice is given in good time, we shall consider every other means of delivery. Minor delays in delivery shall not give rise to an entitlement to refuse acceptance or receive compensation. We do not accept any liability for late delivery attributable to the means of dispatch. The Customer shall be entitled to rescind the contract in case of a delay in delivery for which we are responsible or impossibility of performance only if we have exceeded the delivery time to an unreasonable extent and the Customer has granted us a period of grace by electronic means or in writing.

§7 Dispatch
The means of dispatch shall be e-mail, post or courier services commissioned by us. The cost is to be invoiced as per our price list, as revised from time to time, or as agreed.

§8 Disturbance, force majeure, network or server faults, viruses
No liability is to be accepted for damage or loss caused by force majeure, interruption of operations, network or server faults, disturbances affecting transmission lines or transfer operations etc.. We are likewise not liable for damage or loss caused by viruses. Our IT systems (networks, programs, files etc.) are regularly inspected for viruses. If files are sent by e-mail or any other means of remote transfer, the Customer shall be responsible for conclusively examining the transferred files and texts. Claims for compensation in this connection cannot be recognized.

§9 Prices - means of payment
All offers and prices are non-binding. Prices are stated net in Swiss francs. Save as otherwise agreed, due invoices are payable by bank transfer within 30 days. In case of payment by direct debit, the Customer consents to the arising invoice amounts being deducted from his account by direct debit.

§10 Reservation of title
The documents relating to the order shall remain our property until all claims have been settled in full.

§11 Professional confidentiality
Allingua Service International is obliged without reservation to observe professional confidentiality during and upon the ending of the entire business relationship (in compliance with Articles 307, 320 and 321 of the Swiss Criminal Code). In case of the electronic transfer of texts and data between the Customer and the contractor and any vicarious agents, we cannot guarantee the absolute protection of operating and data secrets or other confidential data and information because unauthorized access to the transferred data by third parties using electronic means cannot be ruled out.

§12 Validity
If individual passages of the Standard Business Conditions are invalid according to applicable law, all the other passages shall retain their validity. Upon the issue of updated Standard Business Conditions, older versions shall become invalid.

§13 Applicable law and venue
The contractual relationship and any other business associations between Allingua Service International and the Customer shall be governed by Swiss law. The venue shall be Zug.
